  • Will Click Attorney notify the IRS that the business is closed?

    Yes, we will.  When you check the “Notify IRS to deactivate EIN” box in your order, we will let the IRS know that you are no longer in business and no longer need to use the EIN.

    Please make sure that you already take care of your tax obligation before closing the business. When you file your final federal tax return for the business, please mark “FINAL” on the form. If you haven’t done so, you can let us know on your order so we can assist you on this matter.

  • What are the advantages of a dissolution?

    As long as the legal entity exists it is liable to pay taxes and other fees. If you want to avoid those unnecessary expenses it is highly recommended to close the business according to the rules defined by the state and get your Certificate of Dissolution. Until you get it, your company will be held liable to file all relevant federal, state, and municipal tax returns. Failure to file these returns will result in the heavy penalties and fees associated with the late filing.

  • What are the Articles of Dissolution?

    To close a business, you will need to file the necessary paperwork in the state where you incorporated. Many states call it a Certificate of Dissolution or Articles of Dissolution. Some states will not allow this until there is confirmation that all due tax payments have been paid.

    The assets can usually be distributed to the owners and shareholders/members based on their share of ownership or any consensus agreement. In many cases, some owners also choose to buy the assets from the company at a moderate price and take deprecation from each item.
